Wirex Banking as a Service

Terms of Service

These Wirex Banking as a Service (“BaaS”) terms of service (the "Terms") govern your use of the website, infrastructure and all associated services, features, content, tools, and documentation provided through our application interface software, our website or any third-party sites (collectively, the "Services"). These Terms govern the relationship between Wirex Limited ("Wirex," "we," "our"), who, in conjunction both with the infrastructure of Wirex Pay Chain Limited, which provides the Service, and with the self-custodial wallet partner (each a “Partner(s)”), make the Service available to you. BaaS is provided by Wirex working together with its Partners, who integrate these capabilities into their products and make them available to their end users. The Wirex services are provided to you subject to Wirex terms found here: (https://help.wirexapp.com/category/terms-and-policies-0427) which you must review and accept prior to use of the Services.

The relationship between the Partner and its end users is governed by the Partner’s own terms. These Terms govern the receipt of the Services in cooperation with the Partner or the Partner’s interface. Where these Terms refer to obligations relating to end users (e.g. disclosures, KYC), the Partner is responsible for ensuring its end users are made aware of and accept the appropriate Wirex terms reflecting those obligations.

1. Eligibility and Access

To use the Services, a user must be at least 18 years old and not fall within any category of a prohibited person as set out in WIREX Prohibited Countries and Activities , incorporated in these Terms by reference.

By using our Services, you affirm that you meet these eligibility criteria and agree not to engage in any unlawful activities or prohibited conduct through our platform. You also acknowledge that you bear sole responsibility for adhering to all applicable laws in your jurisdiction of residence or from where you're accessing our Services.

Your use of our Services constitutes a representation and guarantee that you satisfy these requirements and will not employ our Services for any illicit purposes or to participate in any prohibited activities.

1.1 Account Registration and Approval

Access to certain of the Services may require registration and onboarding as a user (hereinafter referred to as “you”). Wirex reserves the right, at its sole discretion, to approve or reject any application for access to the Services without providing reasons.

1.2 KYC/KYB and Due Diligence

If needed, you agree to provide all information and documentation reasonably requested by Wirex to verify your identity, business activities, beneficial ownership, and compliance with applicable laws, including anti-money laundering (“AML”) and counter-terrorist financing (“CTF”) requirements. Wirex reserves the right to conduct ongoing due diligence and monitoring and may suspend or restrict access where such information is not provided or is deemed unsatisfactory.

1.3 Ongoing Eligibility

You must promptly notify Wirex of any changes that may affect your eligibility, including changes in ownership, regulatory status, or business model.

2. User Rights and Restrictions

The Wirex PayChain Ltd integrated external payment blockchains and any smart contracts running on each of them, as they may be adjusted from time to time, (together, the “Protocol”) are operated separately from Wirex. The provision of this infrastructure is not under Wirex’s control for any changes, updates, etc. The method and implementation of the APIs by a Partner are subject to its own separate terms.

2.1 Documentation Access

The Services may include documentation, research, blog posts, images, videos, commentary, and other materials related to the Wirex community and Protocol (collectively, "Documentation"). These are part of the Services.

2.2 License to Use Services You are granted a non-transferable, non-exclusive, personal, non-assignable, and non-sublicensable license to download, access, and display any software, content, or materials provided as part of the Services solely for your personal use and in compliance with these Terms.

2.3 Usage Restrictions

You agree not to engage in any prohibited activities as outlined in the Prohibited and Conditional Use Policy here.

2.4 Acceptable Use and Prohibited Activities

You agree not to use the Services for any unlawful, fraudulent, or abusive purpose. Prohibited activities include, but are not limited to:

Violating any applicable laws or regulations

Engaging in fraud, money laundering, or terrorist financing

Sanctions evasion

Infringing intellectual property rights

Interfering with or disrupting the integrity or performance of the Services

Attempting to gain unauthorised access to systems or data

Wirex reserves the right to monitor usage and investigate any suspected violations.

3. Ownership and Intellectual Property

Wirex BaaS is a commercial name used for the Banking as a Service offering provided by Wirex. The Services and all related proprietary content, information, and materials are protected by intellectual property laws. Wirex and its affiliates or licensors own all rights to names, logos, product and service names, designs, and slogans associated with Wirex. You may not use these without our prior written consent.

4. Third-Party Services and Content

The user may be introduced to the Services and this BaaS infrastructure by a third party (including a Partner). Wirex takes no responsibility for such third parties and accepts no liability for such third party elements. The Services may include links to third-party websites, services, or content not controlled by Wirex. We do not endorse or assume any responsibility for these third-party sites or materials. Wirex is not liable for any interactions with third-party providers or the content and practices of third-party websites. Use of third-party links and services is at your own risk.

5. Privacy Policy

Each party acknowledges that, in connection with the provision of the Services under the Business-as-a-Service (BaaS) model, it may process personal data within its own scope of responsibility. Unless otherwise expressly agreed, each party acts as an independent controller of personal data and is responsible for complying with applicable data protection laws.

For the purposes of these Terms, “controller” shall have the meaning given to it under applicable data protection laws.

Wirex Limited processes personal data in accordance with its Privacy Policy, which forms an integral part of these Terms.

6. Taxes

You are responsible for any taxes, duties, or governmental charges associated with your use of the Services.

7. Disclaimers and Limitation of Liability

7.1. General Disclaimers

We do not control the activity or data on the Protocol and do not possess or manage digital assets on the Protocol. We do not make any representations or warranties beyond providing commercially our reasonable efforts to ensure the accuracy, completeness, reliability, or error-free nature of the Documentation.

7.2 No Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, express or implied, to the maximum extent permitted by law.

7.3 Limitations of Liability

Wirex and its affiliates are not liable for any indirect, special, incidental, consequential, or punitive damages arising from your use or inability to use the Services.

Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability which cannot be limited or excluded by applicable law. Wirex shall not be liable for: (a) any suspension, interruption or termination of the Wirex Service, including where caused by our Service Provider; (b) loss of profits, sales, business, or anticipated savings; (c) loss of use or corruption of software, data or information; (d) any indirect or consequential loss.

7.4 Assumption of Risk

By using the Services, you acknowledge and accept the risks associated with blockchain technologies and cryptocurrencies, including potential loss of value.

7.5 Indemnification

You agree to indemnify and hold Wirex harmless from any claims, liabilities, damages, losses, or expenses arising from your violation of these Terms.

8. Web3 and Blockchain Risks

8.1 The Services enable interactions with blockchain networks, distributed ledger technologies, crypto-assets, and third-party Web3 protocols (collectively, the “Web3 Services”). 

8.2 Wirex does not own, control, or operate any blockchain network. Blockchain networks are decentralised and maintained by independent third parties. As such, Wirex has no ability to: 

reverse, cancel, or modify transactions once confirmed on a blockchain; 

control network activity, congestion, or performance; 

influence validator, miner, or node behaviour; or 

guarantee continued availability or functionality of any blockchain network. 

Transactions submitted to blockchain networks are irreversible and may result in permanent loss of assets. 

8.3 Interactions with smart contracts, decentralised applications, or third-party protocols involve inherent risks, including but not limited to: 

bugs, vulnerabilities, or exploits in smart contract code; 

protocol failures or design flaws; 

governance attacks or changes to protocol rules; and 

loss of funds due to errors in contract execution. 

Wirex is not responsible for losses arising from such risks, even where access is facilitated through the  Protocol. 

8.4 Where applicable, control over crypto-assets depends on cryptographic private keys. Loss, theft, or compromise of private keys or access credentials may result in irreversible loss of assets. You acknowledge that: 

blockchain ownership is determined solely by control of private keys; 

transactions authorised using valid credentials are deemed final; and 

Wirex cannot recover assets lost due to compromised credentials or incorrect transactions. 

Blockchain transactions may require payment of network (“gas”) fees, which are determined by the relevant blockchain network, may fluctuate significantly and are non-refundable, even if a transaction fails. 

8.5 Transactions may also fail, be delayed, or remain pending due to network congestion or technical issues. 

Blockchain networks may undergo changes such as forks, upgrades, or protocol modifications. These events may: 

impact the value, function, or name of crypto-assets; 

result in the creation of new assets; or 

cause disruption to Services. 

8.6 Wirex does not guarantee support for any forked assets or network changes and may determine, at its sole discretion, whether and how to support such events. 

Certain Web3 Services rely on third-party infrastructure providers, including node operators, custodians, liquidity providers, and external protocols. Wirex is not responsible for: 

failures or outages of third-party services; 

inaccuracies in blockchain data; or 

losses arising from third-party actions or omissions. 



8.7 By using our Services, you acknowledge and agree to the above risks and limitations. 

9. No Financial Advice

9.1 Wirex provides technology infrastructure and Business-as-a-Service (BaaS) solutions, it is not and does not act as a bank, investment advisor, broker, or fiduciary unless expressly stated otherwise in a separate agreement.

9.2 Nothing in the Services or any related documentation constitutes financial, investment, legal, or tax advice. You are solely responsible for evaluating the suitability of any transactions, products, or services made available through the platform.

9.3 Certain financial services connected to the Services may include things like e-money issuance, card issuance and processing, payment services, custody of fiat, fiat on/off-ramp services, and regulated crypto-asset services.

These Services are regulated and are provided either by licensed third-party companies, by Wirex, or by its affiliates that hold the required licences in the relevant countries.

Where this applies:

these regulated Services are governed by separate terms, regulatory disclosures, and complaints processes from the relevant licensed provider; and

if there is any conflict, those separate terms will override these Terms for those Services.

10. Monitoring and Information Rights

Wirex reserves the right to monitor use of the Services to ensure compliance with these Terms and applicable laws. You agree to provide, upon request, any information, records, or documentation reasonably required by Wirex to verify compliance with these Terms, including with respect to regulatory, AML, or security obligations.

11. Suspension and Enforcement

11.1 Wirex may immediately suspend or restrict access to the Services where:

required by law or regulatory authority

fraud or security concerns arise, or;

you breach these Terms

11.2 Wirex shall not be liable for any losses resulting from such suspension.

12. Customer Care and Complaints Handling

If you require assistance, would like to provide feedback, or wish to raise a complaint, you can contact our Customer Care team by emailing supportescalations@wirexapp.com. We aim to respond to all enquiries and complaints within 14 calendar days. We handle all complaints in accordance with our Complaints Handling Procedure, which outlines the procedures and timelines for resolution.

13. Technology and Infrastructure

13.1 By using the Protocol, you acknowledge and accept that transactions may be processed and validated through a combination of on-chain and off-chain mechanisms designed to enhance scalability, efficiency, and user experience.

13.2 While Wirex aims to maintain secure and efficient Infrastructure, you understand that all blockchain and Web3 technologies involve inherent risks, including potential vulnerabilities, delays, or failures beyond our control. Wirex shall not be liable for such risks.

13.3 By using the Services you agree to the incorporation of the Protocol into the Service by Wirex and the related Terms.

14. Transaction Processing and Data Storage

14.1 You understand and agree that transactions may be processed using layered or hybrid blockchain mechanisms, which may include batching, off-chain computation, or other scaling techniques prior to final settlement on a blockchain network. As a result, there may be a delay between transaction initiation and final confirmation on the relevant blockchain.

14.2 Certain transaction-related data may be stored or processed off-chain or via decentralised storage solutions to improve performance and cost-efficiency. While reasonable efforts are made to ensure availability, Wirex does not guarantee continuous access to such data.

15. Interoperability and Asset Movement

You understand and accept the risks associated with cross-network transactions, including delays, network congestion, smart contract vulnerabilities, or loss of assets.

16. Transactions

16.1 Wirex supports various stablecoins and cryptocurrencies. You agree to review and accept any applicable conversion fees or exchange rates before initiating a transaction. Wirex is not responsible for any financial losses resulting from currency fluctuations or conversion rates.

16.2 You understand that interactions with smart contracts on Wirex are irreversible and execute automatically based on predefined conditions. You accept full responsibility for any transactions or interactions you initiate with these smart contracts.

17. Force Debits and Card Blocks

17.1 A force debit occurs due to a technical discrepancy in the transaction processing flow during the clearing process. In such cases, the transaction is executed and funds are debited on the processor’s side, but the corresponding amount is not deducted from the user’s wallet balance.

17.2 The system will attempt to recover the outstanding amount through repeated charge attempts. If the wallet balance remains insufficient, the card will be automatically blocked as a protective measure.

17.3 Our Customer Support Team will provide the Partner with relevant transaction details, including the outstanding amount, merchant name, and transaction date. The Partner is responsible for contacting you to request a wallet top-up.

17.4 If you require confirmation of the transaction, a Retrieval Reference Number (RRN) can be provided as verifiable proof that the transaction was successfully processed by the processor.

18. Service Availability

18.1 Wirex does not guarantee uninterrupted or error-free operation of the Services. The Services may be subject to downtime due to maintenance, upgrades, or factors beyond Wirex’s control. Furthermore, Wirex may modify, suspend, or discontinue any part of the Services at any time.

18.2 Wirex shall not be liable for any indirect or consequential losses arising from any modification, suspension or discontinuance of any part of the Services.

19. Governance and Protocol Changes

19.1 You acknowledge that the way the Protocol is integrated into the Service and its features may change based on decisions made by Wirex Limited. While Wirex will strive to communicate significant changes, you are responsible for staying informed about any updates or modifications to the protocol.

19.2 By using the Services, you agree to these Terms.

20. Miscellaneous Provisions

20.1 Updates to Terms

We may update these Terms periodically in accordance with any relevant changes that may apply to them, including based on decisions as specified in Section 19.1 above. Updated Terms become effective upon posting unless otherwise specified.

20.2 Termination of Services

We may suspend or terminate your access to the Services at our discretion, with or without notice, for any reason.

20.3 Governing Law

These Terms are governed by the laws of England and Wales. Any unlawful or unenforceable provision will be severed without affecting the validity of the remaining provisions.

20.4 Force Majeure

Wirex is not liable for any failure or delay in fulfilling obligations due to events beyond our control, including but not limited to:

Acts of God (natural disasters e.g. floods, earthquakes, fires, storms);

War, terrorism, or similar threats;

Civil unrest (e.g. riots or insurrections);

Government or regulatory actions (e.g. sanctions, embargoes, legal changes);

Strikes or other industrial action;

Failures in telecoms, internet, cloud, or third-party services;

Cyber incidents (e.g. hacking, malware), where reasonable security measures were in place;

Disruptions to blockchain or other third-party infrastructure;

Power, utility, or hardware failures.



20.5 Severability and Assignment

If any provision of these Terms is deemed unlawful or unenforceable, it will be severed from the Terms, which will remain in effect. Wirex may assign its rights under these Terms; you may not assign your rights without prior written consent.
