General terms of service
1. Welcome
Welcome to the Wirex General Terms of Service. These General Terms of Service combined with our Fee Page, and any other documents referred to (collectively the "Terms") set out the legal agreement between:
You, as the Business Client of Wirex acting through its authorised representatives,
and
The Wirex company identified in the Section 2 below ("Wirex", "we", "our", or "us").
By registering on the Wirex Platform and/or using any Wirex Services, you confirm that you have read, understood, and accepted these Terms. You acknowledge and agree to be bound by these Terms. If you do not fully understand or accept these Terms, you should not register on the Wirex Platform and/or using any Wirex Services.
2. Who We Are
Different Wirex companies may provide services to you and may have different Terms applicable to you.
Traditional currency, including fiat/IBAN functionality via banking partner OpenPayd are provided by UAB Wirex a company incorporated under the laws of Lithuania, registered company number is 305118023and whose registered office is in Rinktinės g. 5-101, LT-09234 Vilnius, Lithuania, on a behalf of the OpenPayd Financial Services Malta Limited, a company incorporated under laws of Malta, registered company number is C 75580 and whose registered office is at 122 - 123 Pangea, level 5, Triq San Gorg, St. Julians STJ 3204, Malta.
Crypto-asset services are provided by Wirex Europe sp. z o.o., a company incorporated under the laws of Poland with its registered office at 116/52 Piotrkowska, 90-006 Łódź, Poland, registered in the Register of Virtual Currency Activities maintained by the Director of the Tax Administration Chamber in Katowice under number RDWW-1646. For Italian customers, crypto-asset services are provided by Wirex Digital Services S.r.l., a company incorporated under the laws of Italy and registered as a Virtual Asset Service Provider (VASP) with the Organismo Agenti e Mediatori, registered company number is 12868550968 and the registered office address is Via della Posta 7 20123 Milan Italy.
Wirex Cards are issued by Wirex Limited, a company registered in England and Wales with company registration number 09334596 and registered address at 9th Floor 107 Cheapside, London, United Kingdom, EC2V 6DN. Wirex Limited is authorised by the by the Financial Conduct Authority as an e-money institution with registration number 902025 and any of its successors or assignees will be authorised by applicable regulatory authority or other government entity as an “electronic money institution”, “e-money institution”, “small electronic money institution”, or any other applicable qualification under which an entity is authorized to issue or acquire Electronic Money transactions under applicable law or regulation.
3. Our Service
Wirex operates a platform accessible through the Wirex application, which is available for download on your mobile device (the "Wirex App"), and our website at https://business.wirexapp.com/ (the “Wirex Web”) (collectively the “Wirex Platform”) that allows Business Clients to access supported fiat currencies and crypto-assets for operational treasury and payment purposes(together the "Wirex Service").
Certain features of the Wirex Service may involve interaction with the Wirex on chain or related blockchain-based infrastructure (“Wirex On Chain Services”). Your use of such services is subject to the Wirex on chain terms of service. By accessing or using any Wirex On Chain Services, you acknowledge that you have read, understood, and agree to be bound by those terms in addition to these Terms.
The Wirex Service must be used solely for legitimate business purposes of the Business Client.
You should assess carefully whether your financial situation and tolerance for risk is suitable for any transactions you undertake using the Wirex Service, and you are responsible for conducting your own research before carrying out any transactions through the Wirex Service.
The application is available on mobile devices and via web browser, subject to the following system requirements. For mobile use, the application supports devices running Android 8.0 or higher and iOS 15.0 or later. For the web-based application, the minimum supported browser versions are: Google Chrome 71 or higher, Mozilla Firefox 74 or higher, Apple Safari 11 or higher, and Microsoft Edge (Chromium-based versions). Business Clients must have a functioning device with a stable internet connection; additionally, a working camera is required to complete identity verification procedures.
4. No Investment Advice
The content, tools, features, and information provided via the Wirex Platform and/or the Wirex Services are intended solely for general informational purposes and do not constitute investment, financial, legal, tax, or other professional advice under any circumstances.
Wirex is not authorised to provide investment advice or make personal recommendations in relation to financial instruments or crypto-assets within the meaning of the Markets in Financial Instruments Directive II. As such, no content on the Wirex Platform or within the Wirex Services should be interpreted as a recommendation to buy, sell, or hold any crypto-asset or financial product, nor as an endorsement or solicitation of any kind.
Although we may provide factual information about crypto-assets, market data, pricing, historical performance, or events that may affect market conditions, such information is generic and not tailored to your individual financial situation, objectives, or risk profile. It has not been independently verified and is not intended to be relied upon as the basis for any investment decision.
You remain solely responsible for evaluating your circumstances before making any financial or investment decisions. If you are uncertain about whether a particular investment is appropriate for you, you should seek advice from a qualified and regulated investment adviser authorised in your jurisdiction.
5. Crypto-Asset Risk Disclosure
Crypto-assets are highly volatile and carry significant risks. By using the Wirex Services, you acknowledge that:

the value of crypto-assets may fluctuate significantly and may result in total loss;
-
markets may be illiquid, and pricing may vary across platforms;
-
past performance is not indicative of future results;
-
regulatory treatment of crypto-assets is uncertain and may change rapidly;
-
certain crypto-assets may lose all value or cease to exist.
You should only engage in crypto-asset activities if you fully understand the risks involved and can bear the potential loss.
6. Web3 and Blockchain Risks
The Wirex Services may enable interactions with blockchain networks, distributed ledger technologies, crypto-assets, and third-party Web3 protocols (collectively, “Web3 Services”).
Wirex does not own, control, or operate any blockchain network. Blockchain networks are decentralised and maintained by independent third parties. As such, Wirex has no ability to:

reverse, cancel, or modify transactions once confirmed on a blockchain;
-
control network activity, congestion, or performance;
-
influence validator, miner, or node behaviour; or
-
guarantee continued availability or functionality of any blockchain network.
Transactions submitted to blockchain networks are irreversible and may result in permanent loss of assets.
Interactions with smart contracts, decentralised applications (dApps), or third-party protocols involve inherent risks, including but not limited to:
-
bugs, vulnerabilities, or exploits in smart contract code;
-
protocol failures or design flaws;
-
governance attacks or changes to protocol rules; and
-
loss of funds due to errors in contract execution.
Wirex is not responsible for losses arising from such risks, even where access is facilitated through the Wirex Platform.
Where applicable, control over crypto-assets depends on cryptographic private keys. Loss, theft, or compromise of private keys or access credentials may result in irreversible loss of assets. You acknowledge that:

blockchain ownership is determined solely by control of private keys;
-
transactions authorised using valid credentials are deemed final; and
-
Wirex cannot recover assets lost due to compromised credentials or incorrect transactions.
Blockchain transactions may require payment of network (“gas”) fees, which are determined by the relevant blockchain network, may fluctuate significantly and are non-refundable, even if a transaction fails.
Transactions may also fail, be delayed, or remain pending due to network congestion or technical issues.
Blockchain networks may undergo changes such as forks, upgrades, or protocol modifications. These events may:

impact the value, function, or name of crypto-assets;
-
result in the creation of new assets; or
-
cause disruption to services.
Wirex does not guarantee support for any forked assets or network changes and may determine, at its sole discretion, whether and how to support such events.
Certain Web3 Services rely on third-party infrastructure providers, including node operators, custodians, liquidity providers, and external protocols. Wirex is not responsible for:
-
failures or outages of third-party services;
-
inaccuracies in blockchain data; or
-
losses arising from third-party actions or omissions.
By using our services, you acknowledge and agree to the above risks and limitations.
7. Business Client Wirex Profile
To access the Wirex Service, you must register your email address on the Wirex Platform, create an account with a secure password and complete identity verification (your "Wirex Profile"). To be eligible to create a Wirex Profile, you must meet the following criteria:

The Business Client must be a duly incorporated legal entity acting through authorised representatives;
-
The Business Client is not from a country listed in our List of Prohibited Countries;
-
The Business Client does not appear on any governmental or intergovernmental sanctions list;
-
The Business Client must only open one Wirex Account with us and not have had a previous Wirex Account with us that was terminated by us;
-
You must verify your identity the authorised representatives with us and pass any other checks we are required to conduct as detailed in the Section 6 of these Terms.
It is extremely important for you to keep your Wirex Profile secure at all times. The Business Client is responsible for all transactions carried out by its employees or authorised users initiated through your Wirex Profile. Unauthorised use of your Wirex Profile may have serious consequences for you, including financial consequences. Ultimately, it is your responsibility to keep your Wirex Profile secure by engaging in the following practices:

Using a strong password for your Wirex Profile;
-
Keeping your phone safe and ensuring it is password-protected at all times;
-
Enabling 2-factor authentication to access your Wirex Profile;
-
Keeping your Wirex Card pin and other unique numbers safe and secure;
-
Closing the App when you are not using it;
-
Logging out of the Wirex website when you are not using it;
-
Changing your mobile, card pin and Wirex Account passwords regularly and not sharing these with anyone; and
-
Keeping your email Wirex Profile secure at all time.
If you believe your mobile, Wirex Card, or the login details for your Wirex Profile have been lost, stolen, or accessed without authorisation, you must contact us immediately at supportescalations@wirexapp.com or contacting the Help Center in the Wirex App.
8. Your Verification
We are committed to full compliance with applicable anti-money laundering and know your business (the “AML/KYB”) regulations. Before you can register the Wirex Profile, you must complete our identity verification process and satisfy our compliance requirements.
To open a Wirex Profile, you must successfully complete our identity verification process. This includes, but is not limited to, providing:
-
corporate registration documents, UBO information, authorised signatory identification and any additional corporate due diligence documentation;
-
Proof of business address dated within the last 6 months;
-
Undergo a biometric verification through our approved third-party provider
-
Any additional documentation we may reasonably request.
In certain circumstances, we may require enhanced due diligence. This may involve:
-
Providing further personal, financial, or business-related information;
-
Information regarding the source of your funds and/or wealth;
-
Submitting additional supporting documents or financial statements;
-
Participating in a live video call or an in-person meeting with a Wirex representative.
By applying for a Wirex Profile, you authorise us to conduct identity verification checks, either directly or via approved third-party providers. You acknowledge that your personal data may be shared with identity verification services, sanctions screening databases, credit reference agencies, and fraud prevention bodies, who may retain and respond to such inquiries as permitted by law.
We reserve the right to reject your registration for a Wirex Profile on the Wirex Platform if your identity cannot be verified or if any documentation you provide is incomplete, invalid, or suspected to be fraudulent.
You are responsible for ensuring all information provided to us is accurate, truthful, and up to date. If your details change, you must update your information promptly. Inaccurate or outdated information may lead to restrictions on your Wirex Account or the termination of your access to the Wirex Services.
Wirex actively monitors the Wirex Platform for suspicious, unusual, or potentially illicit activity. We maintain robust compliance procedures in line with industry best practices and regulatory requirements. This monitoring is ongoing and applies to all our clients on the Wirex Platform.
9. Your Wirex Account
Your Wirex Profile provides access to an online multicurrency account (the "Wirex Account"), allowing you to view and manage transactions on the Wirex Platform. When you make your first transaction, we will automatically set up your Wirex Account, which you can access and manage through the Wirex Platform. The Business Client may grant access to the Wirex Platform to authorised employees.
The Wirex Account may be used solely for the Business Client’s own operational funds and payment activities. Business Clients must not process, hold, or transfer funds on behalf of third parties, including their own customers.
Use of the Wirex Account as an intermediary, payment processor, or agent for third-party fund flows is prohibited and may result in immediate account suspension or locking.
To top up your Wirex Account, you can use methods such as bank transfer, payment cards, or by selling crypto-assets. Available options will be displayed on your Wirex Profile. Top-ups may be subject to daily limits, which will be specified on your Wirex Profile.
We may refuse payments from bank accounts or cards not registered in your name. Your authorised representatives are responsible for entering the correct bank account details when initiating a transfer and for any fees your bank may charge. When topping up, ensure the currency you send matches the one selected on your Wirex Profile. If you send a different or unsupported currency, additional fees or exchange charges may apply.
You can exchange the currencies in your Wirex Account for other supported currencies. The available currencies and exchange rates will be displayed on your Wirex Profile when initiating an exchange. Exchange rates can fluctuate rapidly, and you accept the risk of potential losses due to such fluctuations. Daily limits on exchanges may apply and will be shown on your Wirex Profile.
Business Client’s balances in the Wirex Account are not used for investment or lending purposes and will not accrue interest. They are not covered by any national deposit protection schemes. Funds received for payment transactions will be safeguarded in segregated accounts as required by regulatory obligations.
For fiat-denominated balances, we may hold your deposit in stablecoins and convert them at our discretion. As such, any fiat balance displayed may comprise a combination of stablecoins.
10. Your Wirex Card
You can order a Wirex payment card (the "Wirex Card") powered by Mastercard or VISA to use in combination with your Wirex Account. To apply you must be at least 18 years old and complete identity and address verification. We may refuse issuance or delay activation if legal/verification, or other requirements are not met.
If you have ordered a Wirex Card, you will see a separate card account on your Wirex Profile which will show you the balance of your Wirex Card.
Before using your Wirex Card, you are required to activate it by following the activation instructions provided at the time of delivery. Activation confirms your acceptance of these Terms and is a mandatory step to enable the functionality of your card. Upon receiving your Wirex Card, you must sign the back of the card in the designated area to validate it.
To set up your Personal Identification Number (PIN), please follow the instructions available within your Wirex Profile. Your PIN is essential for completing certain transactions, such as ATM withdrawals and in-store purchases requiring chip-and-PIN verification. You will also be asked to specify the preferred currencies on your Wirex Card.
A transaction is authorised when you enter your PIN, use contactless, provide card credentials online, or confirm in‑app. Once authorised, it cannot be cancelled. Pre‑authorisations (e.g., hotels/fuel) may differ from the final charge.
You can top up your Wirex Card from your Wirex Account using the applicable functionality on the Wirex Platform. You can then spend the funds on your Wirex Card anywhere where it is accepted. A maintenance fee applies to your use of the Wirex Card as set out in our “Fees & Limits” section on our website. Ensure you have sufficient funds to cover the full amount (including any fees and in the appropriate currency). Otherwise, the transaction/withdrawal may be declined. We may require source-of-funds or other compliance checks.
If you pay in a currency different from your Wirex Card currency, the Mastercard or VISA scheme rate and any applicable mark‑up/fees apply. The settlement rate may differ from the authorisation rate.
Only funds loaded onto your Wirex Card can be spent. The Wirex Card does not offer any form of credit line to you. If you attempt to transact or withdraw using the Wirex Card and do not have sufficient funds loaded, the transaction or withdrawal may be declined.
In some cases, you may incur a delayed charge, such as when using public transport. You are liable for all charges made with your Wirex Card. In the rare event that you incur a negative balance on your Wirex Card because you do not have sufficient funds to cover delayed transactions, you will be fully liable to Wirex to cover the amount of any negative balances plus any applicable fees, charges and costs incurred by Wirex in attempting to recover the required amount from you.
At all times, we will show your Wirex Card balance on your Wirex Profile, which will be immediately updated to reflect purchases and withdrawals you make with the Wirex Card.
Any negative balance must be repaid together with any applicable fees and recovery costs. If you act fraudulently or with gross negligence (e.g., share your PIN), you are responsible for resulting unauthorised transactions.
Ensure that you authorise transactions and withdrawals which you are sure you want to make, as you cannot stop or reverse a payment or withdrawal.
If a merchant issues a refund, we will credit it when received from the scheme or issuer and it may take several business days. If this currency is not supported by your Wirex Card, the refund will be converted at applicable exchange rates and fees. You may request a chargeback only where permitted under applicable Mastercard or VISA rules. We may require supporting evidence. Outcomes/timing are determined by the scheme. Disputes with merchants and ATMs must be taken up with them directly.
You must not use the Wirex Card for illegal or restricted activities; with merchants and ATMs that do not accept the Card; or in breach of these Terms (including our website list of prohibited countries/transactions). We may decline transactions for security or regulatory checks, or network acceptance. Transfers to third parties unrelated to goods/services are not allowed using the Card as a payment instrument, except when using the Account‑to‑Card (OCT/Pay‑to‑Card) service via your Wirex Profile.
Your Wirex Card expires on the date shown; we may issue a replacement or invite you to request one. Destroy expired physical cards by cutting through the chip. If not renewed, funds remain in your Wirex Account and may be withdrawn to a verified bank account after pending transactions settle.
11. Corporate Card Issuance
Eligible business customers may apply for a corporate Wirex payment card (the “Corporate Card”) to be used in combination with their Wirex Account for legitimate business purposes.
Corporate Cards are available only to Business-to-Business (B2B) customers who have been fully onboarded in accordance with our business verification requirements. Corporate Cards will not be issued to Business-to-Consumer (B2C) customers, private individuals, or Banking-as-a-Service (BaaS) customers.
Before a Corporate Card can be issued, the business customer must successfully complete our Know Your Business (KYB) verification process. This includes verification of the legal existence and registration of the business, confirmation of registered and operating addresses, verification of incorporation or equivalent registration documents, identification and verification of Ultimate Beneficial Owners and persons with significant control, and screening against applicable sanctions and adverse media databases. We may require additional documentation or enhanced due diligence where the nature of the business, jurisdiction, or risk profile makes this necessary.
We may refuse issuance or delay activation of a Corporate Card if legal, regulatory, or verification requirements are not met.
If a Corporate Card is issued, a separate card account will appear on the business customer’s Wirex Profile showing the balance of the Corporate Card.
Before using a Corporate Card, it must be activated in accordance with the instructions provided at the time of delivery. Activation confirms acceptance of these Terms on behalf of the business and is required before the card can be used. Upon receipt of a physical card, it must be signed in the designated area. A Personal Identification Number (PIN) must be set through the Wirex Profile and must be kept secure.
A transaction is authorised when the cardholder enters the PIN, uses contactless functionality, provides card details online, or confirms the transaction in-app. Once authorised, a transaction cannot be cancelled. Pre-authorisations (for example, hotels or fuel stations) may differ from the final settlement amount.
Corporate Cards may be topped up from the linked Wirex Account using the functionality available on the Wirex Platform. Only funds loaded onto the Corporate Card may be spent. The Corporate Card does not provide any credit facility. A maintenance fee and other charges may apply as set out in the Fees & Limits section.
The business customer must ensure that sufficient funds are available to cover all transactions, including applicable fees and foreign exchange charges. If there are insufficient funds, the transaction may be declined. We may also require source-of-funds information or conduct compliance checks before permitting certain transactions.
If a transaction is made in a currency different from the Corporate Card currency, the applicable Mastercard or VISA scheme rate and any mark-up or fees will apply. The settlement rate may differ from the authorisation rate.
The business customer is responsible for all transactions made using a Corporate Card, including those made by its employees or authorised users. In the event of delayed charges or adjustments (for example, public transport or hospitality transactions), the business customer remains liable. If a negative balance arises, the business customer must repay the outstanding amount together with any applicable fees, charges, and recovery costs incurred by Wirex.
The Corporate Card balance will be displayed on the Wirex Profile and updated to reflect purchases and withdrawals.
If an employee or authorised user acts fraudulently or with gross negligence (for example, by sharing the PIN), the business customer will be responsible for resulting unauthorised transactions in accordance with applicable law.
If a merchant issues a refund, it will be credited once received from the card scheme or issuer and may take several business days. If the refund currency is not supported, it will be converted at the applicable exchange rate and fees. Chargebacks are available only where permitted under applicable Mastercard or VISA rules, and supporting documentation may be required. Outcomes and timing are determined by the relevant card scheme. Disputes with merchants or ATM operators must be raised directly with them.
Corporate Cards must not be used for illegal or restricted activities, in breach of these Terms, or in any manner that violates applicable laws or regulations. We may decline transactions for insufficient funds or limits, security or regulatory reasons, network acceptance restrictions, or risk concerns. We may also suspend or cancel a Corporate Card where required to comply with legal or regulatory obligations.
Corporate Cards expire on the date shown on the card. We may issue a replacement or invite the business customer to request renewal. Expired physical cards must be securely destroyed. If a Corporate Card is not renewed, any remaining funds will remain in the linked Wirex Account and may be withdrawn once all pending transactions have settled.
12. Account-to-Card Transfers
You can send money from your Wirex Account directly to an external Visa or Mastercard card (the “Recipient Card”) using the Account-to-Card (A2C/OCT or Pay-to-Card) service. Transfers are processed through our payment partners and relevant card schemes, and once credited, funds are made available by the Recipient Card issuer.
Transfers are final and cannot be reversed. Refunds or chargebacks that apply to regular card purchases do not apply to A2C/OCT transactions.
Transfers may be delayed or declined due to AML or sanctions requirements, risk controls, limits, country or geographic restrictions, technical issues, or card-scheme rules. Processing times depend on the Recipient Card issuer.
Transfers are subject to limits, supported countries and currencies, and fees as displayed in the app or on our fees page. The Recipient Card issuer or its bank may also charge additional fees. Some transfers may be treated as crypto-related by the card issuer, which can affect acceptance by certain banks or in specific countries.
You must provide accurate Recipient Card details. We are not responsible for misdirected payments due to incorrect information. On request, we may attempt to recover funds, but retrieval is not guaranteed and may incur a separate fee.
If you save a Recipient Card for future transfers, we store only provider-issued tokens. You can manage or delete saved Recipient Cards in the app. For security reasons, tokens may be deactivated or require re-confirmation.
We may request additional information or documents and may pause or decline transfers as required by law, card-scheme rules, or our risk policies.
13. Unauthorised Transactions or Errors
If any transaction or action occurs through your Wirex Account without your authorization, or if an error takes place, you must notify us as soon as possible. Failure to report an unauthorised transaction or error promptly, or later than 13 months from the date it occurred, will result in losing your right to a refund.
You should also check your transaction history regularly and let us know of any errors or unauthorised transactions.
You are responsible for any losses arising from unauthorised use of your account if they result from your failure to comply with these Terms.
14. Notice and Communications
We will get in touch with you through the Wirex Platform or the email address you provide on your Wirex Profile. Please make sure to keep this updated with an email address you check regularly. All communications will be made in English.
15. Customer Support & Complaints Handling
If you require assistance, would like to provide feedback, or wish to raise a complaint, you can contact our Customer Support team by emailing supportescalations@wirexapp.com. We aim to respond to all enquiries and complaints within 14 calendar days. Contact information and procedures for these external dispute resolution bodies are available upon request or can be accessed via our website.
A copy of these Terms is available upon request and is also published on our website.
16. Wirex Account Closure by Your Request
The Business Client may request closure of its Wirex Account through an authorised representative at any time and for any reason by contacting our Customer Support team. However, please note the following conditions apply:

You may not close your Wirex Account if Wirex is actively investigating your use of the Wirex Services.
-
Your Wirex Account cannot be closed if it holds a positive or negative balance exceeding the equivalent of EUR 1 in any supported currency.
Upon closure of all your Wirex Accounts, and provided you do not intend to use any Wirex Services in the future, you may also request the closure of your Wirex Profile.
This clause does not affect any statutory rights you may have under the laws of the country in which you reside.
17. Wirex Services Suspension and Termination by Wirex
We reserve the right to suspend or terminate your access to the Wirex Services at any time, without prior notice, at our sole discretion. This may occur, including but not limited to, in the following circumstances:

Where you have provided us with false or misleading information;
-
Where we determine that your use of your Wirex Profile, Wirex Account or Wirex Card is detrimental or harmful to Wirex in any manner;
-
Where you have breached these Terms or engaged in any prohibited activities;
-
Where we suspect you have breached these Terms or otherwise acted fraudulently, including during the AML/KYB verification process;
-
Where we are required to do so to comply with a court order, law, regulation, regulatory decree or ombudsman’s orders;
-
Where you have been declared bankrupt; and
-
Where you have been declared deceased.
We exclude all liability for any losses incurred where we have suspended an account in accordance with this section.
We may also terminate your Wirex Profile and your use of the Wirex Service at any time by giving you 2 months' notice.
18. Our Responsibility to You
The Wirex Service allows you to purchase services and products and provides you with content and information that are owned or developed by third parties, or that operate on or are supported by third party networks. As we do not have any control over these services or products that you purchase, or content you view using the Wirex Service, we are not responsible for them in any way.
While we do our best to ensure that the features and functionalities of the Wirex Service are of a reasonably satisfactory standard and are available to you all of the time, certain features may rely on networks and connections that are beyond our control. Due to the nature of the Internet and technology, the Wirex Service is therefore provided on an “as is” and “as available” basis. As such, we cannot guarantee that the Wirex Service won’t be interrupted, or that you will not experience delays, failures or errors when using the Wirex Service.
Wirex shall not be held liable for any delay or failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to, natural disasters, internet outages, government restrictions or cyberattacks.
Furthermore, Wirex shall not be liable for any losses arising from:

the operation of blockchain networks or distributed ledger technologies;
-
any unauthorised or erroneous transactions recorded on a blockchain;
-
failures, forks, upgrades, or disruptions of blockchain networks;
-
or any third-party protocol, smart contract, or decentralised application.
You acknowledge that blockchain transactions are executed outside the control of Wirex and that Wirex has no ability to reverse, cancel, or otherwise modify such transactions once submitted.
We will not be responsible for losses incurred due to unauthorised access of your email.
Sometimes we might be entitled to be compensated by you, for instance due to a technical error in your favour, when you have a negative balance on your account, or when you use the Wirex Service in such a way that violates the Terms. In such cases, we shall be entitled to recover any sum due to us by retaining some or all of your available funds or balances that you have stored in your Wirex Account or cryptoassets you have bought through the Wirex Service, regardless of what currency or cryptoassets those balances are held in. Where necessary, we will convert currencies and cryptoassets at the applicable exchange rate.
We also give no guarantee as to the fitness for purpose of the Wirex Service for your specific needs. To the extent we are able to do so, we exclude any commitments that may be implied by law.
For any claim, our responsibility to you will be limited to any amounts you have paid us in the 12 months preceding your claim. If you have not paid us anything, we shall not be responsible to you for any claim arising out of the provision of the Wirex Service.
In every case, we will never be responsible for any loss or damage that is not reasonably foreseeable, or that is caused by a failure by you to comply with these Terms.
19. Your Responsibilities
You are responsible for:

All charges and other amounts incurred through your use of the Wirex Service at any time, including any amounts outstanding after you stop using the Wirex Service or if we suspend or cancel your Wirex Profile; and
-
Complying with any and all laws, rules and regulations of your jurisdiction that may apply to you in connection with your use of the Wirex Service, including but not limited to activities of import and export, taxes or foreign currency transactions. We will not be responsible for the execution of tax obligations, or calculation and transfer of taxes applied to you.
You are also responsible for keeping a copy of any information you upload to the Wirex Profile. We will not offer you compensation for any losses you might suffer as a result of any information that you access on the Wirex Profile being deleted, or your access to such information being terminated or suspended if you or we terminate or suspend your use of the Wirex Platform.
20. Restrictions on using Wirex
You must not use the Wirex Service for any of the following:

For any illegal purpose, including fraud and money laundering, and for any purpose prohibited by regulation, statute, ordinance, or other governmental or regulatory limitation;

For any debt-collection purpose or the receipt of funds on behalf of customers or third parties;
-
To circumvent merchant restrictions or obtain goods or services without paying;
-
For commercial speculative trading purposes;
-
To manipulate the price of any asset or currency;
-
In any manner likely to result in complaints, reversals, chargebacks, fees, fines, penalties, or other liability to Wirex, other users, third parties, or yourself;
-
To provide yourself with a cash advance from your credit card, or help others to do so;
-
In any manner which results in a negative balance in any currency;
-
To burden or overload our infrastructure, facilitate any viruses, malware, malicious code or other form of IT attack or attempt to gain access to our systems and information;
-
To interfere with the Wirex Profile and/or Wirex Service in any manner;
-
To copy or reproduce our content or services in any manner;
-
To interfere with our third party providers in any manner;
-
To test credit card behaviours;
-
To circumvent our policies and procedures;
-
For use with any automatic trading, API, crawler scripts, or other methods inconsistent with ordinary use of the Wirex Service;
-
To harass our employees, agents, or other users; and
-
To trade FX for speculative purposes or FX arbitrage.
21. Wirex Remedies
If you breach these Terms in any manner we may, in our sole discretion, take the following actions:
-
Contact and/or warn third parties in connection with your actions, including other clients, your bank or card issuer, law enforcement or regulatory bodies;
-
Refuse to complete transactions;
-
Fully or partially reverse a transaction(s) or exchange(s); and
-
Pursue legal action against you.
22. Personal Data
Collecting and keeping personal data of authorised representatives, employees and beneficial owners of the Business Client safe is important to us. How we handle your personal data is explained in our Wirex Business Privacy Policy.
23. Intellectual Property
All intellectual property rights in the Wirex Platform, and all content and logos are owned by or licensed to Wirex. You may not copy, imitate, or use any of this intellectual property without our prior written consent. Nothing in these Terms grants you any intellectual property rights in the Wirex Platform, other than the right to use the Wirex Platform, and to download Wirex App on your device in order to access the Wirex Platform, in accordance with these Terms.
Your right to use the Wirex Platform is personal to you and you are not allowed to give this right to any other person. Your right to use the Wirex Service does not stop us from giving other people the right to use the Wirex Service.
24. Conflict of Interest
Wirex maintains effective organisational and administrative arrangements to identify, manage, and, where possible, prevent conflicts of interest between Wirex, its clients, and third parties. These measures are in place to ensure that any potential conflict does not adversely affect your interests.
Where a conflict cannot be fully prevented, we will disclose its nature and the steps taken to mitigate the risk, allowing you to make an informed decision about whether to continue using our Wirex Services. In certain cases, we may decline to act if a conflict cannot be managed appropriately.
25. Apple App Store Provisions
This Section applies where the Wirex App has been acquired from the Apple App Store. You acknowledge and agree that the Terms are solely between you and Wirex, not Apple, Inc. ("Apple") and that Apple has no responsibility for the App or content thereof. Your use of the Wirex App must comply with the App Store Terms of Service.
You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and (where applicable) Apple will refund the purchase price for the Wirex App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Wirex App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be solely governed by the Terms and any law applicable to Wirex as provider of the Wirex App.
You acknowledge that Apple is not responsible for addressing any claims of you or any third party relating to the Wirex App or your possession and/or use of the Wirex App, including, but not limited to: (i) product liability claims; (ii) any claim that the Wirex App fails to conform to any applicable legal or regulatory requirement; and all such claims are governed solely by the Terms and any law applicable to Wirex as provider of the software.
You acknowledge that, in the event of any third-party claim that the Wirex App or your possession and use of that Wirex App infringes that third party’s intellectual property rights, Wirex, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such intellectual property infringement claim to the extent required by the Terms.
You represent and warrant that (i) you are not located in a country that is subject to U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
You and Wirex acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of the Terms of Service as relates to your license of the App, and that, upon your acceptance of the terms and conditions of the Terms of Service, Apple will have the right (and will be deemed to have accepted the right) to enforce the Terms of Service as relates to your license of the App against you as a third-party beneficiary thereof.
26. Other App Distribution Platform Provisions
Where you download our Wirex App from any other app store or distribution platform other than the Apple App Store, including the Google Play Store (the "Distribution Platform") you agree that: (a) the Terms are between you and Wirex, and not with the provider of the Distribution Platform ("Store Provider"); (b) your use of the Wirex App must comply with the Store Provider’s then-current Distribution Platform Terms of Service; (c) the Store Provider is only a provider of the Distribution Platform where you obtained the Wirex App; (d) Wirex, and not the Store Provider, is solely responsible for the Wirex App; (e) the Store Provider has no obligation or liability to you with respect to the Wirex App or the Terms; and (f) you acknowledge and agree that the Store Provider is a third-party beneficiary to the Terms as it relates to the Wirex App.
27. Amendments to These Terms
We may amend these Terms from time to time for just cause. Unless a shorter term is required or pursuant to applicable laws, we will notify you at least 2 months in advance of any upcoming changes. If you do not agree with the changes, you must cease using the Wirex Platform before the effective date of the new terms. By continuing to use the Wirex Platform after the changes take effect, you are deemed to have accepted the updated terms.
Certain changes may take effect immediately and without prior notice, particularly when required by law or when we make minor adjustments that do not materially affect your rights, remedies, or our obligations. In such cases, we will inform you as soon as reasonably practicable.
Any changes to these Terms will take effect immediately upon publication on the Wirex website.
28. Miscellaneous
These Terms shall be governed and interpreted in accordance with laws of Poland.
Nothing in these Terms shall be interpreted as designating any asset, including any token made available via the Wirex Platform, as a native token of any blockchain network or as having any inherent rights, utility, or functionality beyond those expressly described within the Wirex Services.
Wirex does not represent or guarantee that any token constitutes or functions as a protocol token, governance token, or network asset.
Unless stated otherwise in these Terms, if any provision is found to be invalid or unenforceable by a court or competent authority, such provision shall be deemed modified or, if necessary, struck out to the extent required, and the remainder of these Terms shall remain in full force and effect.
The failure or delay by Wirex in exercising any right or enforcing any provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be made in writing to be effective. All rights and remedies under these Terms are cumulative and not exclusive of any rights or remedies provided by law.
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Wirex may assign or transfer its rights or obligations under these Terms at any time without notice. No third party shall have any rights to enforce any part of these Terms.
Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the laws of Poland. , without prejudice to any rights the user may have under the laws of their country of residence or domicile, including the right to bring a claim before the courts of that country. Nothing in these Terms shall affect the user’s statutory rights as a consumer under the laws of their country.
In the event of a dispute arising from the interpretation and/or application of these Terms:

If you are domiciled or resident in Poland, the court of your domicile or residence shall have exclusive and mandatory jurisdiction.
For all other users, the competent court shall be that of your domicile or residence, unless otherwise required by applicable mandatory law.
